Benefits

Why Incorporate a Company with the CAC?

Whether you're a solo founder, a growing SME, a non-profit, or a business planning to raise public capital, CAC incorporation gives your company a legal identity separate from its owners, unlocking protections and opportunities a business name alone can't offer.

  • Separate Legal Entity: Your company exists independently of its owners, allowing it to own assets, enter contracts, borrow money, sue, and be sued in its own name.

  • Liability Structure: Depending on the company type, liability may be limited to shares (LTD & PLC), limited to a guaranteed amount (LTD/GTE), or unlimited by choice (Unlimited Company).

  • Perpetual Succession: Your company continues to exist even if its directors, shareholders, guarantors, or members change or pass away.

  • Exclusive Name Protection: Your approved company name is reserved and legally protected nationwide by the CAC.

  • Regulatory Compliance: Incorporation is required to obtain a TIN, register for applicable taxes, open a corporate bank account, obtain sector-specific licences and permits, and meet other regulatory requirements.

  • Tax Benefits: Small companies (turnover under ₦100 Million, assets under ₦250 Million) may qualify for exemption from Companies Income Tax (CIT) and Capital Gains Tax (CGT).

What you'll need

Requirements for CAC Company Incorporation

  • Proposed Company Name: One preferred company name for an instant CAC availability check. LTD/GTE and Holding Companies may require up to three name options for manual consent approval.

  • Business Details: Nature of business, specific business activity, business objectives, registered office address, official email, and phone number.

  • Memorandum & Articles: Your company's objectives and governance rules (standard CAC template, customizable on request).

  • Directors, Shareholders & Secretary: Minimum requirements vary by company type. Small LTDs require at least 1 Director and 1 Shareholder; PLCs and LTD/GTE require at least 2 Directors, while a Company Secretary is mandatory for PLCs and LTD/GTE.

  • Share Capital: Minimum share capital depends on the company type (e.g. ₦100,000 for LTD, ₦2 Million for PLC, no minimum for Unlimited Company, no share capital for LTD/GTE).

  • Persons with Significant Control (PSC): Details of anyone owning 5%+ of shares, voting rights, or significant influence.

  • Valid Identification: NIN or other acceptable identification for all Directors, Shareholders, Guarantors, and Company Secretary.

  • Passport Photograph & Signature: Recent passport photograph and signature of every Director, Shareholder, Guarantor, or Secretary.

  • Additional Approvals (where applicable): Attorney-General's consent for LTD/GTE, regulatory No-Objection letters, and other sector-specific approvals where required.
