Why Appoint a New Chairman for Your Incorporated Trustee?

The Chairman serves as the principal officer of your Board of Trustees—providing leadership, strategic direction, and oversight. Appointing a new Chairman ensures continuity, legal compliance, and effective governance for your organization.

  • Preserve leadership structure: The Chairman leads the board, ensuring decisions align with your mission and legal obligations.

  • Maintain accurate CAC records: Updates your Chairman’s details in the public registry to reflect your current leadership.

  • Reduce risk: Proper filing protects your organization from disputes and ensures transparent governance.

  • Demonstrate credibility: Reinforces your organization’s structure and legitimacy to stakeholders, donors, and regulatory bodies.

Requirements for Change of Chairman of Incorporated Trustees with CAC

  • Current Incorporated Trustee Information: Submit your association’s full registered name, CAC registration number, and classification (e.g., religious, educational, charitable, etc.).

  • Extracts of minutes of meeting: Provide extracts of the general meeting where the change of chairman was approved.

The minutes must list members present and be signed by the outgoing chairman, secretary, or any trustee on record. We can assist with preparing this.

  • Consent letter: Submit a signed consent letter from the newly appointed chairman, accepting the appointment.

  • Trustee record: The person being appointed as chairman must already be a registered trustee with CAC.

If the person is not yet a trustee, they must first be appointed as a trustee and filed with CAC before appointment as chairman; we can manage this process.

  • Valid ID: Provide a copy of a recognized and valid means of identification for the new chairman (National ID Card, International Passport, Driver’s License, or Voter’s Card).
